These Terms of Service ("Terms") govern your access to and use of the CML Trading Group website and the related Client, Account Manager, Supplier and Warehouse portals (collectively, the "Service"). By submitting a quotation request, creating an account, accepting a quotation, or otherwise using the Service, you agree to be bound by these Terms.
Definitions
- "CML", "we", "us" — CML Trading Group srls.
- "You" — the business entity using the Service, acting through an authorised individual.
- "Quotation" — a non-binding written price indication for a specific product or batch.
- "Order" — a binding commitment created when an issued invoice is acknowledged.
Service description
CML provides B2B sourcing, trading and logistics services — principally sourcing industrial and consumer hardware from verified Chinese suppliers and shipping it under EXW / FOB / CFR / CIF / DAP / DDP Incoterms to clients in the EU, MEA and other markets we serve.
Account & eligibility
The Service is for business customers only. By creating an account you confirm that you act on behalf of a registered business and have authority to bind it. You are responsible for keeping your credentials confidential and for any activity on your account.
Quotations
All quotations are non-binding until accepted in writing by both parties. Quoted prices, lead times and minimum order quantities are valid for the period stated on the quotation, or for 30 days if no period is stated. Prices exclude taxes, customs duties and any local fees, unless explicitly stated.
Orders & acceptance
An order becomes binding when an invoice has been issued by us and acknowledged by you. Once binding, an order may only be cancelled or modified with our written consent, and you are responsible for any costs we have already committed to with suppliers.
Payment
Invoices are payable in the currency stated, by bank transfer to the account shown on the invoice and in the portal (Settings → Bank Account). Default terms are 30% advance / 70% before shipment, unless otherwise agreed. Late payment beyond 15 days may incur interest at the statutory rate and entitle us to suspend further shipments.
Shipment, risk & delivery
Risk and title transfer at the point defined by the agreed Incoterm (ICC 2020). Delivery dates are estimates given in good faith but are not guaranteed; we are not liable for delays caused by carriers, customs, force majeure or events outside our reasonable control.
Quality & warranty
Goods are sold with the manufacturer's warranty where applicable. You must inspect goods on arrival and notify us in writing of any visible defects within 7 days of delivery, or hidden defects within 30 days. Our liability for defective goods is limited to repair, replacement or refund of the affected items, at our option.
Intellectual property
All site content, logos, photography and trademarks remain the property of CML or their respective owners. Reference photos or specifications you upload remain your property; you grant us a limited licence to use them solely for sourcing and order fulfilment.
Confidentiality
Each party will keep the other's commercial information (pricing, supplier lists, order details) confidential and use it only for the purpose of performing the contract.
Liability cap
Except for liability that cannot be excluded by law (death, personal injury, fraud, gross negligence), our total liability for any claim arising from an order is limited to the value of that specific order. We are not liable for indirect or consequential losses (lost profit, lost contracts, business interruption).
Compliance & sanctions
Both parties undertake to comply with all applicable export-control, customs and anti-corruption laws. You confirm that you are not on any sanctions list and that the goods you order will not be re-exported to a sanctioned destination.
Termination
Either party may close an inactive account on 30 days' written notice. We may suspend or close your account immediately if you breach these Terms, abuse the Service, or fail to pay a due invoice for more than 30 days. Termination does not affect obligations that survive by their nature (payment, confidentiality, liability).
Changes to the Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent version; we will notify you of material changes via the portal or by email.
Governing law & jurisdiction
These Terms are governed by Italian law. Any dispute arising from the Service or from a specific order will be submitted exclusively to the courts of Turin, Italy, unless mandatory consumer-protection rules apply.
